Oil & Gas - Energy

I have extensive experience advising both local and international clients on various aspects of corporate and commercial laws in Pakistan. Noteworthy examples include guiding Sui Southern Gas Company (SSGC) on the incorporation of a wholly government-owned Private Limited Company, a pioneering initiative in the highly regulated upstream oil & gas sector at that time.

Additionally, I provided legal counsel to the Minister of State on Energy of Pakistan regarding the off-take of gas from gas fields in Khyber Pakhtunkhwa. This involved legal aspects related to the transport, supply, distribution, and sale of gas by private companies, public entities, and the Ministry of Energy under relevant Oil & Gas laws in Pakistan.

Banking

Advised leading banks in Pakistan on a range of matters, from drafting bank guarantees to handling complex banking and finance transactions. This included successfully facilitating remittances exceeding $150 million for the acquisition of a major oil refinery during a period of stringent foreign exchange regulations in Pakistan (2022-2023). The advisory encompassed compliance with the Foreign Exchange Manual, obtaining necessary permissions, and securing licensing from the State Bank of Pakistan.

Margers & Acquisitions

Represented a major Middle Eastern conglomerate in the acquisition of a substantial multi-million-dollar oil refinery in Pakistan.
Represented a prominent Saudi Arabian company in the successful acquisition of Shell Pakistan, the largest acquisition in the country in 2023.
Represented one of Pakistan’s leading fintech firms in its proposed acquisition by a Saudi public limited company.
